DIR-3 KYC Last Date 2026: Is It Still 30 September?

Quick answer: For most directors, No. Since 31 March 2026, DIR-3 KYC is filed once every three financial years, by 30 June of the due year, using one form: DIR-3 KYC Web. On-time filing is free. Late filing or DIN reactivation costs ₹5,000.

Searched "DIR-3 KYC last date 2026" this month? You'll have seen three answers: 30 September 2026, 30 June 2026 and 2028. The first belongs to the old yearly system. The second isn't in any of MCA's examples. For most existing directors, the right answer is 30 June 2028. Plenty of websites haven't caught up. So here is what the rule actually says.

What is DIR-3 KYC and who has to file it?

DIR-3 KYC is the identity check MCA runs on every holder of a Director Identification Number (DIN): PAN, mobile, email and address. It sits under Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014.

The duty follows the DIN, not the board seat. Resigned directors, LLP designated partners and foreign nationals all count if the DIN is live on 31 March. Took a DIN years ago for a company that never launched? You're on the list too.

DIR-3 KYC new rule 2026: what changed?

MCA notified the change on 31 December 2025 as the Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 (G.S.R. 943(E)), effective 31 March 2026. Amended Rule 12A says anyone holding a DIN on 31 March of a financial year must file DIR-3 KYC Web by 30 June of the immediately following every third consecutive financial year. The old e-form and the KYC-Web service are now one form. Any DIR-3 KYC form still in Draft or "Pending for DSC upload and payment" status on 31 March 2026 was cancelled, so it has to be filed fresh on the new form.

The point is simple: directors were confirming the same unchanged details every year, and MCA has decided that's enough.

DIR-3 KYC due date: when is your turn?

MCA's advisory gives three examples. Here is how they play out:

DIR-3 KYC penalty and fee: what does it cost?

The set three numbers:

  • ₹0 if filed by 30 June of the due year
  • ₹5,000 if filed late, or to reactivate a DIN
  • ₹500 each time you file again for a change of details

Some sites still quote a ₹500 yearly fee or a ₹5,500 total. That's the old system.

But ₹5,000 is the small number. Say you run a two-director company from Nehru Place, Delhi, and one director's DIN goes inactive just before annual filings. The company can't file any MCA form that needs that director's DIN or signature. Late AOC-4 and MGT-7 carry additional fees of ₹100 a day each, so a one-month delay is ₹6,000 before you even reactivate the DIN.

What if your mobile, email or address changes?

The three-year rule is good news. This 30-day rule is the one that'll catch people out. Rule 12A(2) says any change in your personal mobile number, email or residential address needs a DIR-3 KYC Web filing within 30 days, separate from the three-year cycle. It costs ₹500, and needs your digital signature and certification by a practising CA, CS or CMA in India.

Picture a director in Andheri, Mumbai, who gets a new mobile number in March and thinks, "next KYC is 2028, I'm fine." She isn't. The 30 days run from the change. What the portal does with a late change filing, we can't say from outside, so don't test it.

How to file DIR-3 KYC Web online: step by step

  1. Check your DIN status. Log in at mca.gov.in and confirm it shows Active.
  2. Keep OTPs in reach. One code goes to your personal mobile, another to your email.
  3. Open the form. Find DIR-3 KYC Web under director forms on the MCA portal.
  4. Pick the purpose. KYC compliance, DIN reactivation, or update of mobile, email or address.
  5. Check the pre-filled details. Match name, PAN, date of birth and address with your documents.
  6. Attach proof only if something changed. For an address, options include Aadhaar, passport, driving licence, voter ID, bank statement or utility bill. A routine filing with no change needs only the OTPs.
  7. Submit and save the SRN. Pay the fee if one applies, then download the acknowledgement.

File in April or May of your due year, not on 29 June. Portals wobble near deadlines, and we can't control that.

DIN deactivated? How to reactivate it

A missed filing shows up as "Deactivated due to non-filing of DIR-3 KYC". You can't sign MCA forms or be appointed a director until it's fixed. The fix is a DIR-3 KYC Web filing marked for reactivation, with ₹5,000, your digital signature and professional certification.

Now the honest bit. MCA's examples cover directors who were compliant up to FY 2025-26. Missed the last yearly filing? That window closed on 31 October 2025 after MCA's extension, so your DIN is probably already deactivated. Reactivation is the fix, not waiting for 2028.   2. Find your last KYC acknowledgement (SRN) and match it to the table above.
  3. If your mobile, email or address changed in the last 30 days, file the update now.
